• disable, overly burden, impair or otherwise interfere with servers or networks connected to the Platform (e.g., a denial of a service attack, etc.);
• attempt to gain unauthorized access to the Platform;

In case Procurelist indicates or in any way discovers any activity or facts described in clause above, it reserves the right to immediately suspend and/or terminate the use of a Procurelist Account or the related parent/organization account, whose Users were involved in said activity, without any notices. You are responsible for any damages, penalties, fines or other payments suffered by Us (if any) as a result of said activity.

Contract duration

Subscriptions

Subscriptions allow Users to receive a Product continuously or regularly over a determined period of time. Paid subscriptions begin on the day the payment is received by us. In order to maintain subscriptions, Users must pay the required recurring fee in a timely manner.

Failure to meet the payment deadlines may result in the unavailability of the Product.

Termination

Termination on Notice

Client may terminate this agreement for any reason on 30 days’ notice to Us.

Termination for Material Breach

Either Party has the right to, in addition to other remedies, suspend or terminate these Terms if one Party commits a material breach of any provision of these Terms, and fails to resolve said breach or to commence corrective action reasonably acceptable to the aggrieved Party and proceed with due diligence to completion within 14 days after a receipt of a notice of such a breach.

Termination for Misuse

We may terminate this agreement with immediate effect by delivering notice of the termination to Client if Client violates any of the limitations of usage mentioned hereof.

Termination for Failure to Pay

We may terminate this agreement with immediate effect by delivering notice of the termination to Client if Client fails to pay the Subscription Fee on time.

Termination for Insolvency

If either party becomes insolvent, bankrupt, or enters receivership, dissolution, or liquidation, the other party may terminate this agreement with immediate effect.

Termination at Will

If the Client is found to cause harm or bring damage to Our Business, we may terminate this agreement with immediate effect by delivering notice of the termination to Client or without any delivering of notice.

Miscellaneous

• You may not transfer or assign any rights or obligations you have under these Terms without Our prior written consent. We may transfer or assign these Terms or any right or obligation hereunder at any time.
• We may change its contact information by posting the new contact information on it’s Website or by advising the Client beforehand. The Client is solely responsible for keeping its contact information up-to-date with Procurelist via the Platform at all times during the validity of the Terms and this information may be treated by Procurelist as official.
• Neither party to these Terms will be liable for delays caused by any event or circumstances beyond reasonable control, including acts of government, flood, fire, earthquakes, civil unrest, acts of terror, strikes or other labor problems, Internet service provider failures or delays, or the unavailability or modification by third parties of third party websites/services.
• The User’s relationship with Us is that of an independent contractor, and neither Party is an agent or partner of the other. The User has no right to represent any third party that has the authority to act on behalf of Us.
• We reserve the right to amend the Terms at any time. If so, we will then post the revised version on our Website. The revised version will be effective at the time it is posted. If we change the user agreement in a way that reduces your rights or increases your responsibilities, we will provide you with 30 days’ prior notice by posting on our Website.

ALL PROCURELIST'S TECHNOLOGY AND RELATED SERVICES ARE PROVIDED “AS IS” AND ON AN “AS AVAILABLE” BASIS. IN NO EVENT WILL PROCURELIST AND THEIR MEMBERS AND ASSOCIATES BE LIABLE FOR ANY CONSEQUENTIAL, INCIDENTAL, INDIRECT OR SPECIAL DAMAGES WHATSOEVER (INCLUDING LOSS OF PROFITS, BUSINESS INTERRUPTION, OR USE) ARISING OUT OF THE USE OF OR INABILITY TO USE THE RELEVANT PROCURELIST'S TECHNOLOGY AND/OR SERVICE, EVEN IF IT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
